Welcome to Seven Media. These Terms & Conditions (“Terms”) govern your access to and use of Seven Media’s website, creator programs, resources, community, communications and related services (collectively, the “Services”).

By applying to, joining, participating in or otherwise using Seven Media’s Services, you agree to these Terms. If you do not agree to these Terms, you should not use the Services or participate in Seven Media programs.

For purposes of these Terms, “Seven Media,” “we,” “us,” or “our” refers to Seven Media and “Creator,” “you,” or “your” refers to the individual participating in or applying to Seven Media.

1. Eligibility

You represent that:
- The information you provide to Seven Media is accurate and complete.
- You have the legal capacity to enter into these Terms.
- You meet any applicable age, platform or eligibility requirements necessary to participate in Seven Media programs.
- You will comply with all applicable laws, regulations and platform policies relevant to your activities as a creator.

Seven Media may request additional information when reasonably necessary to verify eligibility or administer its programs.

2. Seven Media's Role

Seven Media provides creator-focused support, education, resources, community opportunities and other services intended to help creators develop their livestreaming and content-creation activities.

Participation in Seven Media does not guarantee:
- A specific level of income
- A specific number of viewers, followers or fans
- A specific number of livestream hours or diamonds
- Brand partnerships or sponsorship opportunities
- Platform promotion or preferential treatment
- Any particular creator performance or business outcome

Creator performance depends on numerous factors outside Seven Media's control.

3. Creator Responsibilities

As a Seven Media creator, you are responsible for your own creator activity, content and conduct.

You agree to:
- Follow applicable laws and regulations.
- Follow the rules, policies and community guidelines of the platforms on which you create content or livestream.
- Provide accurate information to Seven Media.
- Maintain professional and respectful conduct when interacting with Seven Media staff, creators, partners and other members of the creator community.
- Protect your account credentials and other account-security information.
- Promptly notify Seven Media of material changes to information necessary for your participation.
- Take responsibility for your own tax obligations and financial reporting where applicable.

You are solely responsible for the content you create, publish or livestream unless otherwise expressly agreed in writing.

4. Platform Policies

Seven Media may support creators who use third-party platforms, including TikTok and TikTok LIVE.

Seven Media is not the owner or operator of those third-party platforms and does not control their policies, algorithms, monetization systems, enforcement decisions or availability.

You agree to comply with all applicable third-party platform rules.

Nothing in these Terms requires you to violate or circumvent a third-party platform's policies.

If a platform changes its rules or takes action against your account, Seven Media cannot guarantee that your participation, account access, monetization or creator activity will remain unaffected.

5. Creator Content

You retain ownership of content that you independently create, except where you separately agree to different terms with Seven Media or another party.

By submitting content, materials, testimonials, screenshots, images, videos or other materials to Seven Media for program, educational, promotional or administrative purposes, you grant Seven Media permission to use those materials for the purpose for which they were submitted.

Any broader promotional use of creator content may be subject to additional permission or agreement where required.

You represent that you have the necessary rights and permissions to provide any content or materials you submit to Seven Media.

You may not submit content that knowingly infringes another person's intellectual property, privacy or other legal rights.

6. Creator Communications

Seven Media may communicate with creators using contact information provided during the application or onboarding process.

Creators may be offered an optional 15-day onboarding communication program consisting of daily educational messages, tips, reminders and resources.

Creators may choose to receive these communications through:
- SMS/text messaging; or
- Email.

Participation in the 15-day daily communication program is optional and creators may decline the option when their contact information is collected.

After the initial 15-day onboarding period, communications through an opted-in channel will generally be limited to important Seven Media announcements, updates and information relevant to the creator's participation.

Creators may opt out of optional communications at any time. SMS recipients may generally reply STOP to unsubscribe from text communications. Email recipients may use the applicable unsubscribe mechanism.

Opting out of optional communications does not prevent Seven Media from sending communications reasonably necessary to administer the creator relationship, provide requested services, address account or program matters or comply with applicable obligations.

7. Creator Programs, Events and Competitions

Seven Media may offer creator programs, educational opportunities, competitions, incentives, rewards, events or other initiatives.

Each program may have additional rules, eligibility requirements, deadlines or terms. Those rules will apply in addition to these Terms.

Seven Media reserves the right to:
- Establish or modify program requirements.
- Establish eligibility criteria.
- Correct errors in rankings, calculations or records.
- Disqualify participation when rules are violated.
- Modify, suspend or cancel a program when reasonably necessary.
- Withhold or revoke rewards obtained through fraud, manipulation or violation of applicable rules.

Unless expressly stated otherwise, participation in any program is not guaranteed.

8. Compensation, Rewards and Incentives

Where Seven Media provides compensation, rewards, bonuses or incentives, eligibility and payment will be determined according to the applicable program terms or separate agreement.

Any advertised reward or incentive may be subject to eligibility requirements, verification, applicable laws and program-specific rules.

Seven Media does not guarantee that a creator will receive a particular amount of compensation, rewards or incentives unless expressly agreed in writing.Creators are responsible for understanding and satisfying their own tax obligations relating to compensation, rewards or other income received through their creator activities.

9. Independent Relationship

Unless a separate written agreement expressly states otherwise, participation in Seven Media does not create an employment relationship, partnership, joint venture or agency relationship between Seven Media and the Creator.

Creators are responsible for their own business activities, expenses, taxes and legal obligations.

Nothing in these Terms should be interpreted as a guarantee of employment or a guaranteed income opportunity.

10. Professional Conduct

Seven Media expects creators participating in its community and programs to treat other creators, staff, managers, partners and members of the community with respect.

Seven Media may take action when a creator engages in behavior that materially harms the Seven Media community or violates applicable rules.

Examples may include:
- Harassment, threats or targeted abuse
- Fraud or intentional manipulation of creator programs
- Knowingly providing false information
- Misuse of Seven Media resources
- Conduct that creates a significant risk to Seven Media or its community
- Serious violations of applicable platform rules
- Conduct that materially interferes with the operation of Seven Media programs

Seven Media may investigate reported violations and take appropriate action based on the circumstances.

11. Intellectual Property

The Seven Media name, branding, logos, website, educational materials, training materials, written content, graphics, systems and other proprietary materials are owned by or licensed to Seven Media unless otherwise stated.

You may use Seven Media materials provided to you for your participation in Seven Media programs for their intended purpose.

You may not reproduce, sell, distribute, modify, publish or commercially exploit Seven Media proprietary materials without written permission.

Nothing in these Terms transfers ownership of Seven Media intellectual property to you.

12. Confidential Information

During your participation, you may receive information that Seven Media reasonably considers confidential, including internal business information, creator information, operational processes, private communications, unpublished program information and proprietary materials.

You agree not to disclose or misuse confidential information except as necessary for your legitimate participation in Seven Media or as required by law.

This obligation does not apply to information that is publicly available through no violation of these Terms or information that you independently developed without using confidential information.

13. Third-Party Services and Links

Seven Media may provide links to or integrate with third-party platforms, websites, applications or services.

Seven Media does not control and is not responsible for third-party services, including their availability, policies, security, content or practices.

Your use of third-party services may be subject to separate terms and privacy policies established by those providers.

14. Website Use

You agree not to use the Seven Media website or Services to:
- Violate any applicable law or regulation.
- Attempt to gain unauthorized access to systems or accounts.
- Interfere with the operation or security of the website or Services.
- Introduce malicious software or harmful code.
- Impersonate another individual or entity.
- Collect information about other users without authorization.
- Use Seven Media materials or Services for fraudulent or unauthorized commercial purposes.

Seven Media may restrict or terminate access to the website or Services when reasonably necessary to protect the platform, its users or its business.

15. Privacy

Seven Media's collection and use of personal information is governed by the Seven Media Privacy Policy.

By using the Services, you acknowledge that you have had the opportunity to review that Privacy Policy.

Seven Media does not sell your private information and does not share private information outside the organization for unrelated third-party marketing purposes, subject to the disclosures and exceptions described in the Privacy Policy.

16. Disclaimers

The Services are provided for creator support, education, resources and related purposes.

Seven Media does not guarantee that the Services will result in any specific creator performance, income, audience growth, brand opportunities or other outcome.

To the extent permitted by applicable law, Seven Media makes no guarantees regarding the uninterrupted availability, accuracy or completeness of the Services or third-party platforms.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Seven Media will not be responsible for indirect, incidental, consequential, special or punitive damages arising from or related to your use of the Services or participation in Seven Media programs.

This includes losses arising from third-party platform outages, account actions, algorithm changes, lost revenue, loss of audience, loss of content or other circumstances outside Seven Media's reasonable control.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

18. Termination or Suspension

Seven Media may suspend or terminate your access to its Services or programs when reasonably necessary, including when you:
- Violate these Terms
- Violate applicable program rules
- Provide materially false information
- Engage in fraudulent or abusive conduct
- Create a significant risk to Seven Media, its creators or its community
- Violate applicable laws or third-party platform policies

You may discontinue your participation in Seven Media at any time, subject to any separate written agreement that may apply to your relationship with Seven Media.

Termination does not eliminate obligations that by their nature should survive termination, including obligations relating to confidentiality, intellectual property, payment obligations and limitations of liability.

19. Changes to These Terms

Seven Media may update these Terms from time to time.

When changes are made, the updated Terms will be posted with a new Effective Date.

Your continued use of the Services following the effective date of updated Terms may constitute acceptance of the revised Terms to the extent permitted by applicable law.

If a change materially affects an existing contractual relationship, Seven Media may provide additional notice where required.

20. Governing Law

These Terms will be governed by and interpreted in accordance with the laws applicable to Seven Media, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute will be handled in accordance with applicable law.

21. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

22. Entire Agreement

These Terms, together with any applicable Seven Media policies, program rules, agreements and the Seven Media Privacy Policy, constitute the applicable terms governing your use of the Services unless a separate written agreement expressly supersedes a particular provision.
